What changes, and what doesn't

PNG is lossless: once your image is a PNG, saving it again won't degrade it the way repeated JPG saves do. That's the main reason to convert if you plan to keep editing a picture.

Converting can't undo compression that already happened in the JPG, so the picture looks the same as before. The PNG file will usually be noticeably larger, because PNG stores every pixel exactly.

It won't make the background transparent

A JPG has no transparency, so the PNG keeps whatever background the photo had, white included. Removing a background means cutting the subject out, which is a separate editing job.
